Udyam Registration: Process, Documents and Every MSME Benefit (2026)
- Udyam Registration is free, fully online, and gives your business legal MSME status in under 30 minutes using just your Aadhaar and PAN.
- MSME benefits include collateral-free loans, 45-day payment protection, government tender priority, and direct tax and GST advantages.
- The classification thresholds changed in the Union Budget 2025, so verify your current category before applying or renewing.
Udyam Registration is the official, government-issued MSME certificate that unlocks collateral-free credit, protection against delayed payments, priority in government procurement, and several direct financial subsidies. It costs nothing, takes about 20 minutes on udyamregistration.gov.in, and is based entirely on your Aadhaar and PAN — no inspector visit, no physical documents to submit. If you run a manufacturing unit, a trading business, or a service firm and have not yet registered, you are almost certainly leaving money on the table.
What is Udyam Registration and Who Qualifies?
Udyam is the successor to Udyog Aadhaar (discontinued in 2020). It is governed by the MSMED Act, 2006, as amended. Classification is based on two criteria: investment in plant and machinery or equipment and annual turnover. Both criteria apply simultaneously — you must satisfy both to stay in a category.
The Union Budget 2025 revised the investment and turnover limits upward. The revised limits, effective for FY 2025-26 onwards, are:
| Category | Investment Limit | Turnover Limit |
|---|---|---|
| Micro | Up to ₹2.5 crore | Up to ₹10 crore |
| Small | Up to ₹25 crore | Up to ₹100 crore |
| Medium | Up to ₹125 crore | Up to ₹500 crore |
Note: If either limit is breached, the enterprise moves to the next higher category. If both limits are breached, classification upgrades based on the higher of the two.
Eligible entities include sole proprietorships, partnership firms, LLPs, private limited companies, co-operative societies, Hindu Undivided Families (HUFs), and trusts engaged in manufacturing or services — including retail and wholesale trade (added in 2021).
Documents and Information Required
Udyam is a self-declaration portal. You do not upload documents. However, you must have the following details ready because the portal validates them live against government databases:
- Aadhaar number of the proprietor, managing partner, or authorised signatory (linked to a mobile number for OTP)
- PAN of the business (mandatory since April 2021) and the individual
- GSTIN — mandatory if your turnover exceeds the GST registration threshold
- Bank account number and IFSC code
- Business commencement date and main business activity (NIC code)
- Number of employees (male and female separately)
- Investment figures — the portal auto-fetches data from the ITR filed with the Income Tax Department
If your ITR has not been filed yet for the relevant year, investment figures are taken from audited balance sheets or self-declaration. Keep your last filed ITR and balance sheet handy.
Step-by-Step Registration Process
- Visit udyamregistration.gov.in and click "For New Entrepreneurs who are not Registered yet as MSME."
- Enter your Aadhaar number and validate via OTP sent to your Aadhaar-linked mobile.
- Fill in PAN details. The portal verifies your PAN and auto-populates name and address from the Income Tax database.
- Enter GSTIN if applicable. Turnover and investment data are auto-fetched from GST and ITR records.
- Select your NIC (National Industrial Classification) code — this identifies your business activity. Choose carefully; a wrong NIC code can affect subsidy eligibility.
- Submit the self-declaration and click Final Submit.
- Your Udyam Registration Certificate is generated instantly with a unique Udyam Registration Number (URN) in the format UDYAM-XX-00-0000000.
The certificate is valid for lifetime. There is no renewal fee. However, you must update turnover figures annually through the Udyam portal after filing your ITR.
Every Major Benefit — With Real Numbers
Here is where Udyam pays off concretely:
1. Collateral-Free Loans Under CGTMSE
The Credit Guarantee Fund Trust for Micro and Small Enterprises (CGTMSE) allows banks to lend up to ₹5 crore to Micro and Small enterprises without collateral. The guarantee cover is up to 85% for micro enterprises. The business pays a small annual guarantee fee (around 1–2% of the credit limit per annum) — far cheaper than pledging property.
Worked example: Priya runs a garment unit in Surat. She needs a working capital loan of ₹18 lakh. Without Udyam, the bank asks for property collateral worth ₹25 lakh. With Udyam and CGTMSE, she gets the loan unsecured. Annual guarantee fee at 1.5% = ₹18,00,000 × 1.5% = ₹27,000 per year — versus the stamp duty and risk of pledging immovable property.
2. Protection Against Late Payments (MSMED Act Section 15–23)
If a buyer (who is not an MSME) does not pay within 45 days of accepting goods or services, they owe you compound interest at three times the RBI bank rate. This is enforceable through the MSME Samadhaan portal and the MSME Facilitation Council. This is one of the most powerful — and most underused — protections in Indian commercial law.
3. Priority Sector Lending and Lower Interest Rates
Banks classify MSME loans as priority sector lending. Several state governments and SIDBI run interest subvention schemes where Udyam-registered units get a 2–5% rebate on loan interest. On a ₹50 lakh term loan at 11% p.a., a 3% subvention saves ₹1,50,000 per year in interest.
4. Government Procurement Benefits
Under the Public Procurement Policy, 25% of all central government procurement must come from MSMEs, with 4% ring-fenced for SC/ST-owned MSMEs. Micro and Small enterprises also get a 1% tender fee exemption and EMD (Earnest Money Deposit) waiver on GeM (Government e-Marketplace).
5. Subsidies and Scheme Access
- ISO certification reimbursement — up to 75% of certification cost under various state schemes
- Technology Upgradation Fund — subsidised credit for machinery purchase
- Udyami Mitra portal — single-window access to all MSME credit schemes
- Income Tax benefits — faster depreciation claims; some states offer stamp duty exemption on property purchase for MSME units
Common Mistakes to Avoid
- Wrong NIC code: Many applicants pick a generic code without checking the NIC 2008 handbook. An incorrect NIC code means you may not qualify for sector-specific subsidies. Verify your exact activity code before submitting.
- Not updating turnover annually: Udyam mandates annual self-declaration of turnover after each ITR filing. Failure to update can cause your MSME classification to lapse or be downgraded, potentially disqualifying you from tenders mid-year.
- Applying with personal PAN instead of business PAN: Sole proprietors often have only one PAN (which is correct), but companies and LLPs must use the entity's PAN, not the director's. Using the wrong PAN causes validation failure and delays.
- Registering a company under the proprietor's Aadhaar without board authorisation: For companies and LLPs, the person whose Aadhaar is used must be the authorised signatory per the MCA records. A mismatch triggers rejection.
- Ignoring the 45-day payment rule in contracts: Many MSME owners do not include the 45-day payment clause in their purchase orders or invoices, making it harder to enforce the compound interest penalty later through Samadhaan.
When You Need Professional Help
The portal is genuinely simple for a sole proprietor. It gets complicated when: your turnover is near a classification boundary, you have multiple units under one PAN, your GST and ITR data conflict, or you need to migrate from an old Udyog Aadhaar registration. In those cases, a CA can ensure your investment calculation (land excluded, second-hand machinery at book value) is correct so you are not over-classified into a higher tier and lose benefits. You can explore professional support for registrations through KyaTax's Licences & Registrations service.

Is Udyam Registration free or does it involve any fee?
Completely free. The government portal charges nothing. Be cautious of third-party websites that charge ₹500–₹2,000 for "assisted registration" — they are unnecessary for straightforward cases. Only pay a professional if your situation is genuinely complex (multiple units, boundary classification, ITR-GST mismatch).
Can a trader or wholesale business get Udyam Registration?
Yes. Since June 2021, retail and wholesale trade businesses are eligible for Udyam Registration and can access CGTMSE loans and priority sector lending. However, they are currently excluded from some manufacturing-specific subsidies. Always check the specific scheme notification before assuming eligibility.
What happens if my turnover crosses the MSME limit after registration?
Your classification upgrades. If you breach the Medium Enterprise limits (turnover above ₹500 crore or investment above ₹125 crore), your MSME status lapses. You must update your Udyam profile after filing each year's ITR. The change in status takes effect from the date the ITR is filed for the year in which the limit was crossed.
Is Udyam Registration the same as GST registration or Shop Act licence?
No, they are three separate registrations serving different purposes. Udyam gives you MSME status and access to schemes. GST registration is a tax compliance requirement triggered by turnover thresholds. The Shop and Establishment Act licence is a state-level labour law compliance for your physical premises. Having Udyam does not substitute for either of the other two.
