Every company must have a registered office from the day it is incorporated (or within 30 days of incorporation if it is not declared in SPICe+). It is the address the Registrar, courts, tax authorities and creditors use for all official communication, and it decides which Registrar of Companies has jurisdiction. Since 2022 the Registrar can physically verify the address and strike off a company whose office is fictitious, so the choice matters more than it used to. The utility bill must show the same address, in the same wording, that goes into SPICe+ or INC-22. Mismatched flat numbers and missing pin codes are the top resubmission reasons.

Virtual and co-working offices: legal, with conditions

MCA does not prohibit a virtual office; what it prohibits is a non-existent one. A virtual-office provider that gives you a specific address, a signed NOC, a mail-handling arrangement and permission to display the company name meets section 12. Two practical checks:

Worked example: the ₹1.2 lakh cost of a wrong address

A startup registers at a co-founder's rented flat in 2025. The co-founder moves in March 2026 and nobody files INC-22. In June the Registrar's notice about an unfiled INC-20A goes to the old address and bounces; the company is marked for physical verification and receives a show-cause notice. To fix it the company files INC-22 late (additional fee), responds to the notice, and is exposed to the section 12(8) penalty of ₹1,000 per day of default up to ₹1,00,000 on the company and each officer. Filing a ₹300 form in March would have avoided all of it.

Common mistakes

  1. Using a relative's address without an NOC and bill; the incorporation is resubmitted and the 20-day name reservation runs out.
  2. Not displaying the name board at a home office; it is the first thing the physical-verification report records.
  3. Moving and telling GST but not MCA (or the reverse). The two registrations are verified independently; keep them identical.
  4. Choosing a virtual office in a state you have no connection with to save rent — the ROC and GST jurisdiction follow the address, and you will attend hearings there.
  5. Keeping books at the CA's office without AOC-5. The default rule is that books live at the registered office.
