Company Registration in Delhi (2026): Process, Stamp Duty, Registered Office Rules and Timeline
- Incorporation itself is central and online — but stamp duty and the registered-office proof are state matters, and Delhi has its own rates and its own favourite reasons for rejection.
- Delhi stamp duty on the Articles is 0.15% of authorised capital, so a ₹1 lakh company pays about ₹360 in total duty against ₹3,750 for a ₹25 lakh company.
- A rented office needs the rent agreement plus a utility bill not older than two months plus the owner's NOC — a missing NOC is the single most common Delhi resubmission.
Company incorporation in India is a central, fully online process: you file SPICe+ with the Ministry of Corporate Affairs and the Certificate of Incorporation arrives by email with PAN and TAN already allotted. So why does "company registration in Delhi" matter as a separate question? Because three things in the process are local — the stamp duty you pay, the registered office proof the Delhi Registrar of Companies will accept, and the post-incorporation registrations (GST, professional tax where applicable, shop establishment) that follow under Delhi rules. This guide covers the Delhi-specific parts properly and treats the central parts briefly.
Which entity type, before anything else
Delhi's business mix is heavily trading, services and e-commerce, and the right structure differs sharply across those.
| Structure | Suits | Audit | Annual MCA filings |
|---|---|---|---|
| Private Limited | Anyone raising funds, hiring, selling B2B, or wanting limited liability | Statutory audit mandatory from year one, any turnover | AOC-4, MGT-7, DIR-3 KYC, ADT-1 |
| LLP | Professional firms, two or more partners, no equity funding planned | Only above ₹40 lakh turnover or ₹25 lakh contribution | Form 8, Form 11 |
| OPC | Single founder who wants a company, not a proprietorship | Statutory audit mandatory | AOC-4, MGT-7A |
| Proprietorship | Small local trade or single-person service, lowest compliance | Tax audit only if 44AB limits crossed | None with MCA |
The honest Delhi-specific point: if you intend to sell on Amazon or Flipkart, bid for government or corporate work, or take any outside money, a private limited company is worth its higher compliance. If you are a single consultant billing under the presumptive limits, it usually is not.
Delhi stamp duty — the actual numbers
Stamp duty is collected inside the SPICe+ payment but charged at the rate of the state of the registered office. For Delhi:
- SPICe+ (INC-32) form: ₹10
- Memorandum of Association: ₹200
- Articles of Association: 0.15% of authorised capital, minimum ₹200
So at ₹1,00,000 authorised capital the duty is ₹10 + ₹200 + ₹150 = ₹360. At ₹25,00,000 it becomes ₹10 + ₹200 + ₹3,750 = ₹3,960, and above ₹15 lakh authorised capital the MCA slab form fee starts applying on top. That is the whole reason not to inflate authorised capital at incorporation: there is no operational benefit, and you can raise it later with form SH-7 when there is actually money coming in.
Add the central items that do not change by state: name reservation ₹1,000, PAN and TAN about ₹131 together, Class 3 DSC roughly ₹800–1,500 per director for two years, and nil MCA form fee up to ₹15 lakh capital.
Registered office proof that ROC Delhi accepts
This is where most Delhi applications get held up. The address must be a place capable of receiving communication — and you must prove a right to use it.
| Situation | Documents needed | Watch out for |
|---|---|---|
| Rented premises | Rent/lease agreement in the company's or a promoter's name, utility bill (electricity/water/gas) not older than two months, and the owner's No-Objection Certificate | A missing NOC is the number-one resubmission; so is a bill in a previous tenant's name |
| Owned by a director/promoter | Ownership proof plus a fresh utility bill plus the owner's NOC in favour of the company | The NOC is still required even when the owner is the director |
| Residential address | Same as above — companies can be registered at a residence | Check the society or lease does not bar commercial use; and the bill must match the address exactly |
| Coworking / virtual office | Agreement plus NOC plus the provider's utility bill | Buy a plan that includes the NOC and a bill in writing; the cheapest "mailbox" plans often do not, and INC-22 then fails |
You may incorporate with a correspondence address and file INC-22 within 30 days once the permanent office is ready, but doing both in one go with SPICe+ Part B is simpler and saves a filing.
The sequence and a realistic timeline
- Day 1 — Class 3 DSCs for all subscribers and directors (video KYC with the certifying authority).
- Day 1–3 — SPICe+ Part A name reservation: two names, with the object clause matching your business. Approval is usually 1–3 working days.
- Day 3–6 — SPICe+ Part B with e-MOA, e-AOA, AGILE-PRO-S (GST/EPFO/ESIC/bank account), INC-9 declarations, and the office proof.
- Day 6–12 — ROC processing. A clean file comes back with the Certificate of Incorporation, CIN, PAN and TAN. A resubmission adds roughly a week.
Plan for 10 to 15 working days end to end. Anyone promising 48 hours is describing the best case of a file with no resubmission and directors whose DSCs already exist.
What you must do in the first six months
- Open the current account and bring in the subscribed capital by bank transfer from each subscriber, then file INC-20A within 180 days. Non-filing carries a ₹50,000 company penalty and ₹1,000 per day for officers, and the company cannot legally borrow or trade until it is done.
- Appoint the first auditor via ADT-1 within 30 days.
- Register for GST if you cross the threshold or sell inter-state or through an e-commerce operator. Delhi's threshold is ₹40 lakh for goods and ₹20 lakh for services, but inter-state and marketplace sales require registration from rupee one.
- Get Udyam (MSME) registration — free, and it unlocks the 45-day payment protection under section 43B(h) and collateral-free credit schemes.
- Consider DPIIT Startup India recognition if you are within ten years and under ₹100 crore turnover; it is the gateway to the 80-IAC tax holiday and angel-tax relief.
- Maintain statutory registers and hold the first board meeting within 30 days of incorporation.
Common mistakes
- Authorised capital set at ₹10 lakh "to look serious" — pure extra stamp duty, zero benefit.
- A name that collides with a registered trademark. MCA checks trademarks too; search the trademark register before applying, not after rejection.
- An object clause copied from a template. If it does not cover what you actually do, you will be amending the MOA within a year, and banks and marketplaces read it.
- Treating incorporation as the finish line. INC-20A, ADT-1 and the first-year audit are where the real penalties live.
- A virtual-office plan without an NOC and utility bill. Saves ₹2,000, costs a resubmission and two weeks.
- Not bringing capital through the bank. Cash "introduction" of share capital is a classic scrutiny trigger and breaks the INC-20A declaration.
If you want this handled end to end in Delhi NCR — name search, DSCs, SPICe+, the office-proof set, and the first-year compliance calendar — the Company Registration page sets out what is included and what is charged at actuals. Professional fees there are exclusive of GST, government and statutory fees, DSC charges and out-of-pocket expenses.

Do I need a commercial office address to register a company in Delhi?
No. A residential address is acceptable as a registered office, provided you can produce the ownership or rent document, a utility bill not older than two months, and the owner's NOC. Check that your society bye-laws or lease do not prohibit using the address for business correspondence.
How much is the stamp duty for company registration in Delhi?
Delhi charges ₹10 on the SPICe+ form, ₹200 on the Memorandum, and 0.15% of authorised capital on the Articles subject to a ₹200 minimum. A company with ₹1 lakh authorised capital therefore pays about ₹360 in total stamp duty.
How long does company registration in Delhi actually take?
Ten to fifteen working days is realistic: one day for digital signatures, one to three days for name approval, and about a week for ROC processing of SPICe+ Part B. A resubmission — most often for registered-office documents — adds roughly a week.
Can a company be registered in Delhi if the directors live in another state?
Yes. Directors can be resident anywhere in India, and at least one director must have stayed in India for 182 days or more in the previous financial year. What decides "Delhi" is the registered office address, which also decides the stamp duty rate and the jurisdictional Registrar.
